Terms of Service
Article 1 (Purpose)
These Terms of Service ("Terms") are intended to define the rights, obligations, and responsibilities between Sidus Platforms Inc. ("Company") and members regarding the use of the 'topceleV' service ("Service"), as well as other necessary matters.
Article 2 (Definitions)
The terms used in these Terms are defined as follows:
- "Service" refers to the 'topceleV' service provided by the Company, accessible on any device including PCs and smartphones.
- "Member" means any user who accesses the Service, agrees to these Terms, and uses the Service provided by the Company.
- "User ID" or "Member ID" means the email address registered for identification and service usage.
- "Password" refers to a combination of letters or numbers set for the purpose of security.
- "Post" includes texts, photos, videos, and other content uploaded by a Member.
- "Star" refers to the function used to express support or favor for a post, virtual idol, or VTuber.
Article 3 (Display and Revision of the Terms)
- These Terms take effect upon being posted on the service screen or otherwise notified to Members.
- The Company may revise these Terms to the extent that it does not violate related laws such as the Act on the Regulation of Terms and Conditions, Basic Telecommunications Act, Telecommunications Business Act, and Act on Promotion of Information and Communications Network Utilization.
- If the Terms are revised, the Company shall notify the effective date and reason for the change at least 7 days prior (30 days in case of significant changes affecting Members' rights/obligations).
- Members have the right to reject the revised Terms. Rejection must be submitted within 15 days. If a Member objects, the Company may terminate the agreement after notice.
- If a Member does not express rejection or uses the Service after the effective date, the revised Terms are deemed accepted.
Article 4 (Interpretation)
Matters not specified in these Terms shall follow relevant laws.
If the Company and Member enter into a separate agreement, that agreement shall prevail.
Article 5 (Formation of Use Agreement)
- A use agreement is formed when a user agrees to these Terms and the Privacy Policy and the Company approves the membership application.
- Clicking "Agree" during the signup process constitutes consent.
- The Company generally accepts applications but may refuse or terminate under the following conditions:
- Previous membership was revoked under these Terms
- Use of false identity or another's name
- Provision of false or incomplete information
- Applicants under 14 without guardian consent
- Other violations or inability to approve due to user fault
- For paid services, the agreement is formed when the "Purchase Complete" step is shown.
- The Company may delay approval due to technical, operational, or resource-related issues.
- The Company will notify the applicant if approval is denied or delayed.
- Membership is confirmed when the Company indicates completion.
- The Company may apply different usage conditions based on membership level.
Article 6 (Application for Service Use)
- Members must provide accurate email and other requested information.
- Real-name verification may be required for certain features.
- Accounts using stolen or falsified identity may be deleted without notice and penalized under law.
Article 7 (Personal Information Protection)
- Information provided by Members is managed in accordance with the Privacy Policy.
- Members acknowledge and agree that their data will be collected and used per the Privacy Policy.
- The Company may contact Members for administrative notices and updates related to the Service.
Article 8 (Member ID and Password Management)
- Members are responsible for safeguarding their passwords.
- The Company recommends using strong passwords.
- The Company is not liable for losses resulting from inadequate password protection.
Article 9 (Member Notifications)
- The Company may notify Members via registered email or other methods.
- Notices to all Members may be posted in the Service's notice section for at least 7 days.
Article 10 (Company's Obligations)
- The Company shall not engage in unlawful or unethical conduct and shall provide stable services.
- The Company shall implement security systems and comply with its Privacy Policy.
- The Company shall handle valid complaints or inquiries appropriately and communicate outcomes to the Member.
- Key information about paid services shall be clearly displayed.
Article 11 (Prohibited Conduct and Termination by Members)
- Members shall not:
- Provide false information
- Steal others' data
- Modify posted information
- Upload unauthorized software
- Infringe intellectual property
- Defame others or disrupt operations
- Post obscene or violent content
- Use the service for commercial purposes without permission
- Commit other illegal acts
- Members must comply with laws, Terms, notices, and the Company's policies.
Article 12 (Service Modifications)
- The Company may modify services for operational or technical reasons.
- Changes shall be announced at least 7 days prior.
- The Company may modify or discontinue services and has no obligation to compensate unless required by law.
Article 13 (Information and Advertisements)
- The Company may provide information via the Service or email.
- Consent to receive emails is assumed upon joining.
Article 14 (Copyright of Posts)
- Copyright of posts belongs to the Member who created them.
- Posts may be exposed or edited for promotional purposes within the Service.
- The Company shall comply with copyright laws and Members may delete or hide their content.
- For uses beyond this scope, the Company must obtain consent.
Article 15 (Responsibility for Posts)
- The Company may remove or restrict posts that:
- Defame others
- Violate public order or laws
- Are connected to crime
- Infringe on intellectual property
- Are politically/religiously sensitive
- Are unauthorized promotions
- Involve stolen identity
- Are spam or repeated content
- Are deemed harmful to minors
- Violate the Terms or Company policies
Article 16 (Post Management)
- Rights holders may request removal of infringing content.
- Even without a request, the Company may remove content based on its policies or law.
Article 17 (Ownership of Rights)
- The copyrights and intellectual property rights of content posted by Members within the Service shall remain with the respective Member. However, this does not apply to content provided under separate partnership agreements or otherwise assigned to the Company.
- Posting on topceleV grants a license to the Company to use the content.
- Members may not transfer or sell rights granted by the Company.
Article 18 (Member Termination)
- Members may cancel their membership at any time.
- Upon termination, data will be deleted except as required by law.
- All account data will be removed after termination.
Article 19 (Restrictions)
- The Company may warn, suspend, or terminate accounts for violating the Terms or disrupting operations.
- Immediate termination may occur for:
- Identity or payment fraud
- Distribution of illegal software
- Hacking, malware, or illegal access
- No compensation is provided for revoked benefits.
- Details of restrictions follow the Company's policies.
- Affected Members may appeal, and if the Company accepts the appeal, access may be restored.
Article 20 (Compensation for Defective Content)
Compensation for damages caused by service defects shall follow the "Guidelines for Digital Content User Protection."
Article 21 (Paid Content Usage)
- Paid content is limited to the device where the app was downloaded.
- Usage period follows the description at the time of purchase or until service discontinuation.
Article 22 (Cancellation of Purchase)
- Members may cancel purchases within 7 days of contract or availability.
- Cancellations not apply to:
- Immediately usable content
- Content with used additional benefits
- Opened content judged as used
- Gifted or free content
- Partially used bundled products
- The Company must clearly label non-refundable content.
- If content is different from what was advertised, cancellation is allowed within 30 days.
- Refunds must be processed within 3 business days after cancellation.
- Minors may cancel payments made without guardian consent.
- The Company will handle cancellations promptly upon receiving required documentation.
Article 23 (Refund of Overcharges)
- Overpayments will be refunded.
- In-app purchases follow marketplace (e.g., Google, Apple) refund procedures.
- Refunds are processed based on the device's operating system.
- The Company may request additional information to process refunds and shall do so within 3 business days of receiving it.
Article 24 (Limitation of Liability)
- The Company is not liable for service disruptions due to force majeure.
- The Company is not liable for issues caused by Member fault.
- The Company is not responsible for content accuracy or reliability.
- The Company is not involved in transactions between Members or with third parties.
- The Company is not liable for free service issues unless specified by law.
Article 25 (Governing Law and Jurisdiction)
- These Terms are governed by the laws of the Republic of Korea.
- Disputes shall be resolved by the competent court under the Civil Procedure Act of Korea.
